Konsument na rynku kapitałowym

Abstract

Artykuł poświęcony jest traktowaniu inwestorów – osób fizycznych – jako konsumentów na rynku kapitałowym, co może skutkować objęciem ich ochroną przewidzianą dla konsumentów. W instytucjach finansowych budzi to obawy o możliwość przyznawania przez sądy inwestorom ochrony właściwej dla konsumentów, natomiast ochronie inwestorów poświęcone są odrębne przepisy i to one powinny znajdować przede wszystkim zastosowanie dla ochrony tej grupy uczestników obrotu finansowego. Inwestycje na rynku kapitałowym niosą za sobą ryzyko strat, które nie może być całkowicie usunięte lub przeniesione na instytucje finansowe. Ochrona inwestorów opiera się przede wszystkim na dostarczeniu im informacji o planowanych inwestycjach, pozostawiając im decyzje co do podjęcia ryzyka, z którym wiąże się dana inwestycja.

The article is devoted to the legal aspects of treating investors (natural persons) as consumers. In financial institutions, this raises concerns about the possibility of courts granting investors the protection that is appropriate for consumers, whereas investor protection is addressed by separate legislation and it is this legislation that should primarily be applied to protect this group of financial participants. Investment in the capital market entails a risk of loss that cannot be entirely removed or transferred to financial institutions. Investor protection is based primarily on providing investors with information about their intended investments, leaving it up to them to decide on the risks involved.
