    Power of attorney to participate in the general meeting of a cooperative according to Polish law

    The present paper discusses the issue of the power of attorney to participate in the general meeting of a cooperative. The power of attorney in question does not constitute the power of attorney within the meaning of the Civil Code, but is a separate type of substantive civil power of attorney. Within the scope not regulated by the provisions of the cooperative law, Articles 98–109 of the Civil Code apply thereto, however by analogy.

    Prawo dalszego prowadzenia działalności gospodarczej w świetle austriackiej ustawy o działalności gospodarczej

    W artykule przedstawiona została problematyka prawa dalszego prowadzenia działalności gospodarczej unormowanego w prawie austriackim. Zgodnie z definicją legalną jest to prawo kontynuowania działalności gospodarczej na podstawie zezwolenia na prowadzenie działalności gospodarczej innej osoby. Prawo dalszego prowadzenia działalności gospodarczej powstaje dodatkowo do zezwolenia na prowadzenie działalności gospodarczej właściciela przedsiębiorstwa i stanowi ono niezależną podstawę prawną do prowadzenia działalności gospodarczej. Zasadniczo służy utrzymaniu przedsiębiorstwa po śmierci przedsiębiorcy, ale jego celem może być także przymusowa sprzedaż przedsiębiorstwa w celu zaspokojenia wierzycieli. W prawie polskim nie ma jednak możliwości wprowadzenia prawa dalszego prowadzenia działalności gospodarczej przede wszystkim dlatego, że nabycie spadku przez spadkobierców następuje tu ipso iure w chwili śmierci spadkodawcy.

    Reduction of Contractual Penalty under Polish Law Against the Background of Supranational Legal Regulations

    The article discusses the issue of the reduction of contractual penalty according to Polish law against the background of supranational legal regulations. The aim hereof is to determine whether the current regulation of contractual penalty reduction resulting from the provisions of Polish law (Article 484 § 2 of the Civil Code) is consistent with the standards that can be derived from supranational legal regulations, i.e. Resolution (78) 3 Relating to Penal Clauses in Civil Law, the UNIDROIT Principles of International Commercial Contracts, the Principles of European Contract Law, the Draft Common Frame of Reference and the TransLex-Principles, as well as to formulate de lege ferenda conclusions. The article uses the logical-linguistic and legal-comparative method. At first, the legal regulation of contractual penalty reduction in Polish law is presented. Next, the reduction of contractual penalty in the aforementioned supranational soft law regulations is discussed. Lastly, the conclusions of the analysis performed are formulated. Despite some weaknesses, the regulation of contractual penalty reduction in Polish law seems be in line with the solutions contained in the supranational regulations in question. Some changes are required in the catalog of the prerequisites for the reduction of the contractual penalty and limitation of arbitrariness as to the extent thereof.
