- ItemDopuszczalność stosowania przepisów o wzorcach udostępnianych w systemie teleinformatycznym do EIZG z siedzibą na terytorium Rzeczypospolitej Polskiej(Wtdawnictwo KUL, 2018) Kozieł, GrzegorzOpracowanie dotyczy kwestii prawnej dopuszczalności stosowania przepisów o wzorcach udostępnianych w systemie teleinformatycznym do Europejskiego Zgrupowania Interesów Gospodarczych z siedzibą na terytorium Rzeczypospolitej Polskiej. W obowiązujących przepisach prawa nie przewidziano wprost takiej możliwości. W związku jednak z tym, że art. 7 ustawy o EZIG i SE przewiduje w sprawach nieuregulowanych w rozporządzeniu nr 2137/85/EWG i ustawie o EZIG i SE odpowiednie stosowanie przepisów kodeksu spółek handlowych o spółce jawnej, w opracowaniu rozważono: 1) czy można to odnosić również do przepisów o wymienionych wzorcach przewidzianych dla spółki jawnej (a zatem czy można je zastosować odpowiednio do EZIG z siedzibą na terytorium RP) i jakie argumenty przemawiają za takim zastosowaniem, a także 2) jakie znaczenie ma w tym obszarze istnienie przepisów wykonawczych określających konkretnie takie wzorce oraz 3) czy w istnieje w aktualnym stanie prawnym delegacja ustawowa do wydania tych przepisów, jak np. w przypadku wzorców w spółce jawnej. The study concerns the legal issue of the admissibility of applying the provisions on templates provided in the ICT system to the European Economic Interest Grouping located on the territory of the Republic of Poland. The existing law does not directly provide such a possibility. However, due to the fact that art. 7 of the Act on EEIG and SE, provides appropriate application, in matters not regulated in Regulation No. 2137/85 / EEC and the Act on EEIG and SE, the provisions of Code of Commercial Partnerships and Companies on a general partnership, the study considered: 1) whether this could also refer to the provisions on the listed templates provided for the general partnership (and therefore whether they can be applied respectively to the EEIG located in the territory of the Republic of Poland), what arguments are in favor of this application, and, 2) what is the significance, in this area, of the existence of implementing regulations specifying such templates and 3) whether there is a statutory delegation in the legal system to issue these provisions, as in the case of templates in a general partnership.
- ItemSystem monistyczny w spółdzielni działającej na zasadach ogólnych polskiego prawa spółdzielczego jako jedna z opcji zarządzania tą spółdzielnią de lege ferenda(Wydawnictwo KUL, 2022) Kozieł, GrzegorzThe article proposes to start in some areas, or to continue (resume) in other ones, the discussion on the reasonableness of introducing the one-tier model of governance as one of the options for a cooperative operating under general provisions of Polish law on cooperatives, specifically the Act – Law on Cooperatives of 1982 (consolidated text: Journal of Laws 2021 item 648 as amended), which is an option not yet provided for in these provisions. At the same time, this option is currently not available to cooperatives operating under special provisions on the operation of specific types of cooperatives (for example, cooperative banks, housing cooperatives, social cooperatives or credit unions), which for matters not regulated in these special provisions refer to the general provisions of the above-mentioned Act. Therefore, the article starts with the question of whether the time has come for the introduction of the one-tier model in cooperatives operating under general rules (on the basis of general regulations) of the Polish law on cooperatives and, in its conclusions, the discussion aims to indicate a number of arguments allowing to answer this question in the affirmative (and therefore supporting the introduction of the one-tier governance model in the cooperative) and the author’s original specific proposals for the law as it should be in this regard (concerning the method of introducing this model into the provisions of the law on cooperatives), including in particular the methods of normative regulation (referred to as models of regulation) of the one-tier model in individual entities under Polish law, together with the names of these models proposed by the author. The article also outlines a synthetic comparison of these models, with the main advantages and disadvantages of each of them, above all from the perspective of lawmaking methods, including the coherence and clarity of the legal regulation, which has a fundamental and very important influence on the application of individual regulations.
- ItemZ problematyki wynagrodzenia za udostępnianie utworu naukowego na podstawie art. 14 ust. 2 ustawy o prawie autorskim i prawach pokrewnych(Wydawnictwo KUL, 2018) Kozieł, GrzegorzW niniejszym artykule przedstawiono wybrane problemy dotyczące wynagrodzenia za udostępnianie przez instytucję naukową utworu naukowego osobom trzecim na podstawie art. 14 ust. 2 ustawy z 4 lutego 1994 r. o prawie autorskim i prawach pokrewnych (tekst jedn.: Dz. U. z 2016 r., poz. 666 ze zm. – u.p.a.p.p.), które jest jednym z uprawnień tej instytucji przewidzianych w wymienionym przepisie (poza korzystaniem z tzw. materiału naukowego zawartego w tym utworze). W opracowaniu odniesiono się do zagadnienia charakteru prawnego przepisu art. 14 ust. 2 przywołanej ustawy oraz wpływu ustaleń w tym zakresie na spektrum praw twórcy utworu naukowego w obszarze wynagrodzenia. Podjęto w nim także próbę usytuowania prawa twórcy utworu naukowego do wynagrodzenia z tytułu jego udostępniania (zgodnie z art. 14 ust. 2 u.p.a.p.p.) w obszernym katalogu praw twórcy do wynagrodzenia przewidzianych w tej ustawie, w tym w szczególności zawarto propozycję określenia charakteru prawnego analizowanego prawa do wynagrodzenia. This article presents selected problems concerning the remuneration for making a scientific work available by a scientific institution to third parties on the basis of Article 14 par. 2 of the Law of 4 February 1994 on Copyright and Related Rights (J.L. 2016, it. 666, as am. – CRRL), which is one of the powers of that institution provided for in that provision (other than the use of the so-called scientific material included in this work). The article deals with the issue of the legal nature of the provision of Article 14 par. 2 of the CRRL and the influence (impact) of the findings in this area on the scope of rights of the scientific work’s author in the field of remuneration. It also included an attempt to position of the right of scientific work’s author to remuneration of its being made available (in accordance with Article 14 par. 2 of the CRRL) in the extensive catalog of authors’ rights to remuneration provided for in this Law, including a proposal to determine the legal nature of the right to remuneration.
