    Between Enabling Law and Protecting Law – Some Remarks on the Method of Regulating the Law of Groups of Companies in Polish Commercial Companies Code

    Although the groups of companies have been an indispensable part of the modern economy for several decades, they still continue to attract unwavering attention of both practice and doctrine of corporate law. The numerous legal challenges posed by the functioning of multi-level structures, based on diverse types of dominance and dependance relations adopt different regulatory strategies manifest a universal appeal. Yet, the national legislators adopt different regulatory strategies, aimed at securing the interests of various stakeholders, including minority shareholders, dependent companies and their creditors. As a result, the contemporary discourse entails two concepts – one emphasizing the risks and responsibilities associated with it (protecting law) and the other one, supporting the creation of groups, as well as instruments for their effective management (enabling law). The aim of the article is to verify the extent to which these concepts are addressed by the most recent Polish group law regulations, viewed in a comparative context outlined by selected European jurisdictions.

    Solvency Test in Polish Simple Joint-Stock Company: A Review and Comparative Analysis

    The subject of the article is a comparative analysis of the solvency test - a legal instrument that conditions causa societatis payments for limited liability companies upon ascertaining their impact on its future liquidity (ability to pay debts as they come due), which has recently been incorporated into the Polish legal system with reference to a simple joint-stock company (pol. Prosta Spółka Akcyjna) (Article 30015 § 5 of Polish Commercial Companies Code). Considering that the solvency test originated in common law, the comparative analysis of the instrument in question was set against the background of selected foreign legal systems, i.e., the law of New Zealand, United States and the United Kingdom, where the solvency test is shaped much differently than the polish one.

    Żądanie zaprotokołowania sprzeciwu jako przesłanka legitymacji czynnej wspólnika (akcjonariusza) do wytoczenia powództwa o uchylenie lub stwierdzenie nieważności uchwały zgromadzenia wspólników (walnego zgromadzenia akcjonariuszy)

    Zgodnie z poglądem dominującym w doktrynie i orzecznictwie żądanie zaprotokołowania sprzeciwu wobec uchwały zgromadzenia wspólników lub walnego zgromadzenia akcjonariuszy stanowi odrębny od aktu głosowania akt staranności i konieczną przesłankę wytoczenia powództwa o uchylenie, lub stwierdzenie nieważności uchwały. W artykule podjęto się wykładni przepisów art. 250 pkt 2 i art. 422 § 2 pkt 3 Kodeksu spółek handlowych, również w kontekście ustrojowych uwarunkowań analizowanej instytucji, przede wszystkim art. 45 ust. 1 Konstytucji RP. Mimo panującej tendencji do literalnego odczytywania i ścisłej interpretacji tych przepisów Autor proponuje uwzględnienie rezultatów wykładni funkcjonalnej i systemowej, m.in. w odniesieniu do sposobu i formy wystąpienia z takim żądaniem, jak i oceny momentu, do którego jego sformułowanie jest możliwe.
